Terms of sale

These terms apply when you buy a subscription to one of our products, ProcuraCloud or Frontage, from SMARTSOL LIMITED, an Ontario corporation. How you use a product is also governed by that product's own terms of use.

Subscriptions and billing

• Prices are in Canadian dollars and shown before you pay.
• A subscription is billed in advance for each billing period (monthly, unless the checkout page says otherwise) to the card you give our payment processor, Stripe.
• Applicable sales taxes are added at checkout.
• A subscription renews automatically at the end of each period until you cancel it.

Cancelling

You can cancel at any time from the product's billing settings. You keep full access until the end of the period you have paid for, and you are not charged again. We do not refund part of a period, except where the law requires it.

Price changes

We tell you by email at least 30 days before a new price applies to your subscription. If you do not want to continue at the new price, you can cancel before it takes effect.

Payments that fail

If a payment fails, Stripe retries the card and we let you know. You keep your plan while it retries. If payment still cannot be collected, the subscription ends, and your account may be suspended or moved to a free plan where the product offers one.

Your data

The records you keep in a product are yours. You can export them while your account is open, as the product describes, and our privacy notice explains how we handle personal information. Each product also has its own terms of use, which apply alongside these terms of sale: the Frontage terms of use (en français) and the Frontage privacy notice.

Liability

We work to keep our products available and accurate, but they are provided as they are, to the extent the law allows. Our total liability for any claim about a subscription is limited to the greater of the fees you paid us for it in the 12 months before the claim and CA$100. Nothing in these terms limits rights you have that the law does not allow to be limited.

Law

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction.

Changes to these terms

If we change these terms, we update the date above and tell subscribers by email before a change that affects them takes effect.
